Terms of Service
Linkly LLC Last updated: [14 September 2026] Effective date: [14 September 2026]
These Terms govern your use of this website and all services provided by Linkly LLC. By using the site, requesting a quote, or tendering any shipment to us, you accept these Terms.
1. Definitions
“Company,” “we,” “us,” “our” means Linkly LLC, a limited liability company organized in [Illinois], United States.
“Customer,” “you,” “your” means the person or entity requesting or receiving our services, and any party on whose behalf you act.
“Services” means freight forwarding, customs brokerage, warehousing, transportation arrangement, and any related service we perform.
“Goods” means the cargo, documents, and property tendered to us or handled on your behalf.
“Third Party” means any carrier, warehouse, terminal, agent, broker, or other provider engaged to perform part of the Services.
2. Our role
We arrange transportation. We do not perform it.
Unless we state in writing that we are acting as a carrier for a specific shipment, we act solely as your agent to arrange transportation, customs clearance, storage, and related services with Third Parties. We are not a common carrier and do not accept liability as one.
We hold [an FMC Ocean Transportation Intermediary license, No. []] and [a U.S. Customs Broker license, No. []].
Where we act as a customs broker, that work is governed by our Customs Power of Attorney and by [19 C.F.R. Part 111], in addition to these Terms.
3. Quotations and rates
Quotations are estimates based on the information you give us and on rates, surcharges, and exchange rates in effect at the time of quoting. A quotation is not a contract and does not reserve space.
A quotation is valid for [15] days unless it states otherwise, and is subject to revision if:
- the actual weight, dimensions, commodity, or packaging differ from what you described;
- carrier rates, fuel surcharges, currency rates, tariffs, or duties change;
- the shipment requires services not included in the quotation, such as inspection, re-delivery, detention, demurrage, storage, liftgate, or inside delivery;
- a government authority imposes a hold, examination, or additional filing.
Charges not listed in a quotation remain payable if incurred. Where a shipment weighs more, measures more, or requires more than quoted, we will invoice the difference at our standard rates.
4. Booking and acceptance
A booking is confirmed only when we issue a written booking confirmation. We may decline any shipment at our discretion.
You must provide complete and accurate shipping instructions and documents by the cut-off times we specify. We are not liable for delay, penalty, or loss arising from late, incomplete, or inaccurate instructions or documents.
5. Your obligations and warranties
You represent and warrant that:
- you are the owner or authorized agent of the Goods, and you accept these Terms for all parties with an interest in them;
- all information you provide — including description, value, weight, dimensions, HTS classification, country of origin, and end use — is complete and accurate;
- the Goods are properly packed, marked, and labeled for the transport requested;
- the Goods are not prohibited, restricted, or dangerous unless declared in writing and accepted by us in writing;
- the shipment complies with all applicable export control, sanctions, and import laws, including those administered by CBP, BIS, and OFAC;
- neither you, the consignee, nor any party to the transaction is a sanctioned or denied party.
You are responsible for all duties, taxes, tariffs, fines, and penalties assessed on the shipment, including those arising from a misdescription or misclassification you supplied.
6. Prohibited and restricted goods
We do not accept, and you may not tender without our prior written agreement:
currency, bullion, precious stones, negotiable instruments; live animals; human remains; firearms, ammunition, or explosives; narcotics and controlled substances; hazardous materials not declared and documented in accordance with [49 C.F.R.] and the applicable IMDG or IATA rules; counterfeit goods; and any item whose transport is prohibited by law.
If prohibited or undeclared goods are found in a shipment, we may refuse, hold, return, or dispose of them at your cost, and you indemnify us for all resulting loss, fine, or penalty.
7. Customs clearance
Where we act as your customs broker, you must grant us a valid Power of Attorney before we file on your behalf.
You are the importer of record and remain responsible for the accuracy of all entry data, even where we prepare the filing from information you supplied. You must review entry documents we send you and notify us immediately of any error.
We are not responsible for delay, examination, detention, demurrage, or penalty imposed by CBP or another agency, except where it results directly from our own negligence.
8. Insurance
The Goods are not insured unless you request insurance in writing and we confirm it in writing before the shipment moves.
Carrier liability is limited by law and is usually far less than the value of the Goods. It is not insurance. If you want all-risk cargo cover, request it at quotation stage, declare the value, and pay the premium. A request made after loading cannot be accepted.
9. Limitation of liability
9.1 Limits. Our liability for any claim arising out of the Services is limited to the lesser of:
- the amount of the loss actually proven; or
- US$[50.00] per shipment, unless you declare a higher value in writing before the shipment moves and pay the agreed additional charge.
9.2 Third-party carriers. Where loss or damage occurs while the Goods are in the custody of a Third Party, liability is governed by that party’s tariff, bill of lading, or air waybill and by the applicable convention or statute, including:
- the Carriage of Goods by Sea Act, generally US$500 per package or customary freight unit;
- the Montreal Convention, generally 22 SDR per kilogram for international air;
- the Carmack Amendment for domestic motor carriage.
Our role is limited to pursuing the claim against that party on your behalf.
9.3 Excluded losses. We are not liable for loss of profit, loss of market, loss of use, production stoppage, business interruption, reputational harm, or any indirect, incidental, special, punitive, or consequential damages, however arising, even if we were advised such loss was possible.
9.4 Delay. We do not guarantee transit times. Transit windows are estimates based on carrier schedules and are not a contractual commitment. We are not liable for delay.
9.5 Basis of the bargain. Our rates are set on the basis of these limitations. Higher limits are available on written request against a higher charge.
10. Claims
To preserve a claim you must:
- Note the loss or damage on the delivery receipt at the time of delivery. Concealed damage must be reported within [5] days of delivery.
- Notify us in writing within [30] days of delivery, or of the date the Goods should have been delivered.
- File suit within [nine months] of that same date.
Claims are not valid unless all charges owed to us have been paid. Charges may not be offset against a claim.
Failure to meet any of these deadlines is a complete bar to the claim. Shorter deadlines imposed by a Third Party carrier apply in addition to these.
11. Payment
Invoices are payable within [30] days of invoice date, in US dollars, without deduction, offset, or counterclaim.
Overdue amounts accrue interest at [1.5%] per month or the maximum permitted by law, whichever is lower. You are responsible for our costs of collection, including reasonable attorneys’ fees.
You remain liable for our charges even where you instruct us to invoice a third party, and even where that third party fails to pay.
Duties, taxes, and government charges we advance on your behalf are reimbursable on demand.
12. Lien
We have a general and continuing lien on any Goods and documents in our possession for all sums due to us, whether relating to that shipment or to any other.
We may give [10] days’ written notice of our intent to exercise the lien, and if payment is not received, sell or dispose of the Goods at public or private sale and apply the proceeds to the debt. You remain liable for any shortfall.
13. Storage and abandonment
Goods not collected within [30] days of arrival or notice of availability incur storage at our standard rates and are at your risk.
Goods uncollected after [90] days may be treated as abandoned and disposed of, with the costs of disposal charged to you.
14. Indemnity
You indemnify and hold us harmless against all claims, fines, penalties, duties, losses, damages, and expenses, including reasonable attorneys’ fees, arising out of:
- inaccurate, incomplete, or late information or documents you supplied;
- breach of these Terms or of any law applicable to the shipment;
- the nature or condition of the Goods, including undeclared hazardous or prohibited items;
- any claim brought against us by a Third Party in connection with your shipment.
This obligation survives completion of the Services.
15. Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, weather, earthquake, fire, flood, war, terrorism, piracy, civil unrest, strike or labor dispute, port or terminal congestion, equipment or chassis shortage, carrier schedule change or blank sailing, government action, embargo, customs hold, quarantine, epidemic, cyberattack, or failure of public infrastructure.
16. Website terms
16.1 Use. You may use this site for lawful purposes connected with our Services. You may not attempt to gain unauthorized access, scrape or harvest data, interfere with the site’s operation, or use it to transmit malicious code.
16.2 Intellectual property. All content on this site — text, images, logos, the Linkly name and mark, layout, and code — belongs to us or our licensors. You may not copy, reproduce, or use it without our written permission.
16.3 Tracking information. Tracking data is provided for convenience and is drawn from carrier and terminal systems. It may be delayed or incorrect. It is not a warranty of position or delivery.
16.4 Accuracy. We work to keep the site accurate but do not warrant that it is complete, current, or error-free. Rates, transit times, and service descriptions shown on the site are indicative and are not an offer.
16.5 Availability. The site is provided “as is” and “as available.” We do not warrant uninterrupted access.
16.6 Third-party links. We are not responsible for the content or practices of sites we link to.
17. Confidentiality
Each party will keep the other’s non-public commercial information confidential and use it only for the purpose of performing or receiving the Services. This does not prevent disclosure required by law or by a government authority.
Our handling of personal information is described in our [Privacy Policy].
18. Term and termination
Either party may terminate the business relationship on [30] days’ written notice. Termination does not affect shipments already in transit, nor any accrued rights or obligations, including payment, lien, and indemnity.
19. Governing law and venue
These Terms are governed by the laws of the State of [Illinois], without regard to its conflict of laws rules.
Any dispute will be brought exclusively in the state or federal courts located in [Lake County, Illinois], and both parties consent to that jurisdiction. Where federal law or an international convention governs the carriage, that law prevails over this section to the extent of any conflict.
20. General
20.1 Entire agreement. These Terms, together with any written booking confirmation and our Customs Power of Attorney, are the entire agreement between us and supersede all prior discussions. They prevail over any conflicting terms in your purchase order or other document, whenever issued.
20.2 No waiver. Our failure to enforce any provision is not a waiver of it.
20.3 Severability. If any provision is held unenforceable, the rest remains in force.
20.4 Assignment. You may not assign these Terms without our written consent. We may assign them to a successor in connection with a merger or sale of the business.
20.5 Changes. We may amend these Terms by posting a revised version on this site. The version in effect when your shipment is booked applies to that shipment.
20.6 Survival. Sections 5, 9, 10, 11, 12, 14, 17, 19, and 20 survive termination.
